These Terms and Conditions ("Terms", "Agreement") govern your access to and use of the Pallas mobile application (the "Service" or "App") operated by Pallas Health ApS ("Pallas", "we", "us", "our").

By creating an account, purchasing a subscription, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Eligibility and Age Requirement

  • You are not prohibited from using the Service under applicable laws

3. Description of Service

Pallas is a mobile fitness and nutrition application that provides:

  • Personalized workout plans and exercise routines

  • Meal planning and nutrition recommendations

  • Progress tracking and analytics

  • Shopping list generation

  • Integration with Apple Health for step tracking (optional)

The Service uses automated processing and AI-based systems to generate personalized recommendations based on your profile information.

3.1 AI-Generated Recommendations

Important: The Service uses artificial intelligence (AI) and automated systems to generate fitness and nutrition recommendations based on the information you provide. These AI-generated recommendations:

  • May be inaccurate, incomplete, or not appropriate for your individual circumstances

  • Are based on algorithms and data patterns, not professional medical or fitness assessment

  • Should be verified and evaluated using your own judgment

  • Are not a substitute for advice from qualified healthcare, fitness, or nutrition professionals

You are responsible for verifying all recommendations and deciding whether to follow them. We do not guarantee the accuracy, completeness, or suitability of AI-generated content.

4. Health and Fitness Disclaimer

4.1 Not Medical Advice

IMPORTANT: The Service provides fitness and nutrition information for general educational and informational purposes only. The Service does NOT provide:

  • Medical advice, diagnosis, or treatment

  • Professional health or fitness advice

  • Nutritional therapy or dietetic services

4.2 Nutrition and Meal Plan Disclaimer

Meal plans, recipes, and nutritional information provided through the Service are general recommendations only and are intended for lifestyle and informational purposes. They are:

  • Not prescribed diets, medical nutrition therapy, or treatment plans

  • Not intended to address specific medical conditions and may not be suitable for allergies, intolerances, or dietary restrictions

  • General suggestions that may not be appropriate for your individual needs

Recommendations may be personalized based on your inputs (such as goals and calorie targets), but they are not medical or clinical advice.

You are responsible for:

  • Ensuring that any meals or ingredients are suitable for your needs, including allergies, intolerances, medical conditions, and dietary requirements

We do not guarantee that meal plans or recipes are free from allergens or suitable for any particular dietary restriction.

4.3 Health Eligibility and Contraindications

You must NOT use the Service if you:

  • Are under 18 years of age

  • Are pregnant or nursing (without explicit medical clearance)

  • Have been diagnosed with or are being treated for an eating disorder

  • Have any medical condition that may be affected by exercise or dietary changes

  • Have injuries, physical limitations, or health concerns that may be aggravated by exercise

  • Have been advised by a healthcare provider not to exercise or make dietary changes

If you experience any of the following while using the Service, you must stop immediately and consult a healthcare provider:

  • Chest pain, irregular heartbeat, or severe shortness of breath

  • Dizziness, fainting, or lightheadedness

  • Severe muscle or joint pain

  • Nausea, vomiting, or other severe symptoms

  • Any other concerning physical symptoms

4.4 Health Warnings

Before beginning any exercise program or making significant dietary changes, you should:

  • Consult with a qualified healthcare provider, especially if you have:

    • Pre-existing medical conditions

    • Injuries or physical limitations

    • Concerns about your health

    • Are pregnant or nursing

  • Start gradually and listen to your body

  • Stop immediately if you experience pain, dizziness, or discomfort

4.5 No Guarantees

We do not guarantee:

  • Specific fitness or health results

  • Weight loss or body composition changes

  • Improved athletic performance

  • Any particular outcome from using the Service

Results vary based on individual factors including genetics, adherence, effort, and other variables.

4.6 Assumption of Risk

You acknowledge and agree that:

  • Exercise and physical activity carry inherent risks of injury

  • You voluntarily assume all risks associated with using the Service

  • You are solely responsible for your health and safety

  • Pallas is not liable for any injuries, damages, or health issues that may arise from your use of the Service, except to the extent caused by our negligence (as set forth in Section 12)

5. User Obligations and Acceptable Use

5.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service in any way that violates applicable laws or regulations

  • Attempt to gain unauthorized access to the Service or related systems

  • Interfere with or disrupt the Service or servers

  • Use automated systems (bots, scrapers) to access the Service

  • Reverse engineer, decompile, or disassemble any part of the Service

  • Transmit any viruses, malware, or harmful code

  • Impersonate any person or entity

  • Collect or harvest information about other users

  • Use the Service for any commercial purpose without our written consent

5.2 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

5.3 Prohibited Content

You may not upload, post, or transmit any content that:

  • Is illegal, harmful, or offensive

  • Infringes on intellectual property rights

  • Contains personal information of others without consent

  • Is defamatory, harassing, or abusive

6. Account Registration and Security

6.1 Account Creation

To use the Service, you must:

  • Create an account using email/password, Apple Sign In, or Google Sign In

  • Provide accurate registration information

  • Accept these Terms and our Privacy Policy

  • Be at least 18 years old

6.2 Account Security

You are responsible for:

  • Maintaining the security of your account credentials

  • All activities under your account

  • Immediately notifying us of any unauthorized access

  • Using a strong, unique password (if using email/password authentication)

6.3 Account Suspension or Termination

We reserve the right to:

  • Suspend or terminate your account if you violate these Terms

  • Remove or refuse to process any information that violates these Terms

  • Take legal action if necessary

7. Subscription and Payment Terms

7.1 Subscription Service

The Service may offer subscription plans that provide access to premium features. Subscription terms are governed by:

  • These Terms and Conditions

  • The subscription plan details provided at the time of purchase

  • Apple's App Store Terms (for iOS subscriptions)

7.2 Payment and Apple as Merchant of Record

  • Subscriptions are processed through Apple's App Store

  • Apple is the merchant of record for all App Store purchases

  • Apple handles billing, payment processing, and stores your payment information

  • We do not have access to your full payment details

  • Payment will be charged to your Apple ID account

  • Subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period

  • You can manage subscriptions and turn off auto-renewal in your Apple ID Account Settings

7.3 Cancellation

  • You may cancel your subscription at any time through your Apple ID Account Settings

  • Cancellation takes effect at the end of the current billing period

  • You will continue to have access to premium features until the end of your paid period

  • No refunds are provided for the current billing period after cancellation

7.4 Refunds and Right of Withdrawal (EU/EEA)

For EU/EEA Consumers:

  • If you are a consumer in the EU/EEA, you generally have a 14-day right of withdrawal for online purchases under EU consumer protection law

  • However, if you request immediate access to the Service and the Service begins during the withdrawal period, you acknowledge that you may lose your right of withdrawal once access to the digital Service begins, to the extent permitted by applicable law

  • By purchasing a subscription and accessing premium features, you request immediate access to the Service

  • Refund requests for App Store purchases are handled through Apple's refund process, subject to Apple's refund policy and applicable consumer protection laws

  • For subscription-related refund inquiries, contact Apple Support or us at [your contact email]

For Other Users:

  • Refunds are subject to Apple's refund policy and applicable consumer protection laws

  • We do not provide refunds for partial subscription periods except as required by law

7.5 Price Changes

We reserve the right to modify subscription prices. Price changes will be communicated in advance and will apply to subsequent billing periods. Where required by applicable law, you will be asked to agree to price changes before they take effect. Apple may handle this process for App Store subscriptions.

8. Intellectual Property Rights

8.1 Our Intellectual Property

All content, features, and functionality of the Service, including but not limited to:

  • Text, graphics, logos, icons, images

  • Software, algorithms, and code

  • Workout plans, exercise databases, and meal plans

  • User interface and design elements

  • Trademarks, service marks, and trade names

Are the exclusive property of Pallas and are protected by copyright, trademark, patent, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Service for personal, non-commercial purposes

  • Download and use the App on your personal device

This license does not include the right to:

  • Reproduce, distribute, or create derivative works

  • Use the Service for commercial purposes

  • Remove any copyright or proprietary notices

  • Reverse engineer or attempt to extract source code

8.3 User Content

You retain ownership of any content you create or upload to the Service. By using the Service, you grant us a worldwide, royalty-free, non-exclusive license to use, store, and process your content solely for the purpose of providing the Service.

8.4 Feedback

Any feedback, comments, or suggestions you provide about the Service may be used by us without obligation or compensation to you.

9. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

  • That the Service will be available at all times

  • That defects will be corrected

The Service may be temporarily unavailable due to:

  • Maintenance or updates

  • Technical issues

  • Force majeure events

10.2 Service Modifications

We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service at any time

  • Change features, functionality, or content

  • Impose limits on certain features or restrict access to parts of the Service

We will provide reasonable notice of material changes when possible.

11. Third-Party Services and Links

The Service may integrate with or link to third-party services, including:

  • Supabase: For data storage and authentication

  • Apple Sign In: For authentication

  • Google Sign In: For authentication

  • Apple HealthKit: For health data access (optional)

Your use of third-party services is subject to their respective terms and conditions and privacy policies. We are not responsible for the practices of third-party services.

12. Limitation of Liability

12.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT

12.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PALLAS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, data, use, goodwill, or other intangible losses

  • Personal injury or property damage resulting from your use of the Service, except to the extent caused by our negligence (as set forth in Section 12.3)

  • Any damages resulting from:

    • Your inability to use the Service

    • Unauthorized access to or alteration of your data

    • Third-party conduct or content

    • Any other matter relating to the Service

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim, or €100, whichever is greater.

12.3 Exceptions

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence

  • Fraud or fraudulent misrepresentation

  • Any liability that cannot be excluded under applicable law

13. Indemnification

You agree to indemnify, defend, and hold harmless Pallas, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or relating to:

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of any rights of another party

  • Your violation of any applicable laws or regulations

14. Termination

14.1 Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature in the app settings

  • Contacting us at hello@pallasapp.com

Upon termination:

  • Your right to use the Service will immediately cease

  • We will delete your personal data in accordance with our Privacy Policy

  • Any data that must be retained for legal purposes will be retained as required

14.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, if:

  • You breach these Terms

  • You engage in fraudulent or illegal activity

  • We are required to do so by law

  • You fail to pay subscription fees (if applicable)

14.3 Effect of Termination

Upon termination:

  • All rights granted to you under these Terms will cease

  • You must immediately stop using the Service

  • Provisions that by their nature should survive termination will survive (including Sections 8, 12, 13, and 15)

15. Dispute Resolution and Governing Law

15.1 Applicable Law

These Terms shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law provisions.

15.2 Dispute Resolution

For EU/EEA Users:

  • You have the right to bring a claim in the courts of your country of residence

  • You may also use the European Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr

For Other Users:

  • Any disputes shall be resolved in the courts of Denmark

15.3 Class Action Waiver

To the extent permitted by applicable law and without limiting any mandatory consumer rights in the EU/EEA, you agree that any disputes will be resolved individually and not as part of a class action. This section does not limit any mandatory consumer rights in the EU/EEA.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page

  • Updating the "Last Updated" date

  • Notifying you through the app or via email (for material changes)

Your continued use of the Service after such changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and delete your account.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Pallas regarding the Service and supersede all prior agreements and understandings.

20. Consumer Rights (EU/EEA)

If you are a consumer in the EU/EEA, you have certain mandatory rights under consumer protection laws that cannot be limited by these Terms. Nothing in these Terms affects your statutory rights as a consumer.

20.1 Right of Withdrawal for Digital Services

If you are a consumer in the EU/EEA, you generally have a 14-day right of withdrawal for online purchases under Directive 2011/83/EU. However, this right may be lost if:

  • You explicitly request immediate access to the Service

  • The Service begins during the withdrawal period

  • You acknowledge that you may lose your right of withdrawal once access to the digital Service begins

By purchasing a subscription and accessing premium features, you request immediate access to the Service and acknowledge that you may lose your 14-day withdrawal right once access to the digital Service begins, to the extent permitted by applicable law.
